Terms of Service

1. Preamble & Scope of Agreement

These General Terms and Conditions ("Terms", "AGB") govern the access to and use of the software-as-a-service platform, AI social agents, Knowledge Source integrations, AI Creative Studio, and associated APIs provided by GoSocio AI ("GoSocio", "we", "us", "our"), established in Austria (European Union).

By creating an account, initiating a subscription, or accessing our services, you ("Customer", "User", "you") agree to be legally bound by these Terms and our integrated Privacy Policy.

2. Services Provided

GoSocio provides an automated AI social media management suite, which includes:

  • AI Social Media Agents: Automated workflows drafting, structuring, and scheduling multi-channel posts across LinkedIn, Meta (Facebook & Instagram), X, TikTok, YouTube, and Pinterest.
  • Knowledge Source Grounding (RAG): Indexing customer-uploaded documentation (PDFs, style guides, press releases) in private vector databases to ensure brand compliance.
  • AI Creative Studio & Imagine Tools: Generative image and video creation, resolution enhancements, background adaptations, and promotional creative generations.
  • Calendar & Approval Workflows: Multi-tier draft review workflows before live publishing.

3. Account Registration & Security

To use GoSocio, you must provide true, complete, and updated registration details. You are solely responsible for maintaining the confidentiality of your credentials and OAuth account authorizations. Any action performed through your authorized account is attributed to you.

GoSocio is intended for commercial and professional organizations. If registering on behalf of a company or entity, you warrant that you have the legal authority to bind that entity.

4. Intellectual Property & AI Output Ownership

A. Customer Data & Knowledge Documents: You retain full title, copyright, and intellectual property rights in all source documents, trademarks, logos, and materials uploaded to your GoSocio workspace.
B. AI Generated Outputs: As between you and GoSocio, and to the fullest extent permissible under applicable copyright and intellectual property laws (including Austrian Urheberrechtsgesetz - UrhG), GoSocio assigns to you all rights, title, and interest in the text, image, and video content generated in response to your prompts and instructions.
C. GoSocio Platform Rights: GoSocio retains all proprietary rights, source code, UI designs, trademarks, models, and platform architectures powering the service.

5. Subscriptions, AI Credit Quotas & Payments

Billing Cycle: GoSocio subscriptions are billed in advance on a recurring monthly or annual basis. Prices are quoted exclusive of statutory Value Added Tax (Umsatzsteuer / USt.), which will be added at the applicable Austrian/EU rate unless a valid reverse-charge EU VAT ID (UID) is provided.

AI Credit Usage: Generation features (captions, images, video renderings) deduct credits according to the consumption table displayed within the application. Monthly plan credits reset each billing cycle. Top-up credit packs remain valid for 12 months.

Cancellation: You may cancel your subscription at any time via your dashboard. Cancellation takes effect at the end of the current pre-paid billing period. No refunds are issued for partially used billing periods.

6. Editorial Responsibility & Acceptable Use Policy

Human-in-the-Loop Review: AI systems can produce inaccurate, incomplete, or hallucinated statements. You acknowledge that you bear the sole editorial responsibility to review, verify, and approve all AI-generated drafts prior to publishing them to your social channels.

Prohibited Content: You may not use GoSocio to generate, process, or distribute content that:

  • Violates applicable EU or Austrian laws (e.g., Verbotsgesetz, StGB, UWG, MedG).
  • Infringes third-party intellectual property, privacy, or trademark rights.
  • Contains hate speech, defamation, illegal discrimination, or sexually explicit content.
  • Generates deceptive misinformation, fraud, or spam violating connected platform developer terms (Meta, LinkedIn, X, TikTok, Google/YouTube).

7. Limitation of Liability (Austrian Law / ABGB)

In accordance with Austrian statutory law (§§ 1293 et seq. ABGB), GoSocio is liable without limitation only for damages caused intentionally (Vorsatz) or through gross negligence (grobe Fahrlässigkeit), or in cases of injury to life, body, or health.

For slight negligence (leichte Fahrlässigkeit), liability is excluded to the maximum extent permitted by Austrian law, in particular for lost profits, indirect or consequential damages, commercial disruption, or third-party social media API outages outside GoSocio's direct control.

8. Governing Law & Place of Jurisdiction

These Terms and all disputes arising out of or in connection with the contract shall be governed exclusively by the substantive laws of the Republic of Austria, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict of law rules.

For commercial entities and business customers (B2B), the exclusive place of jurisdiction for any disputes shall be the competent court having subject-matter jurisdiction in Graz or Vienna, Austria.
